Affiliate Program Terms & Conditions

These Affiliate Terms form a binding agreement between you ("Affiliate", "you") and Samiir Vivekanand Halady, trading as Review Mitra (GSTIN 27AAUPH0142G2ZS), having its principal place of business at Ground Floor, 1, Plot 235, Talmakiwadi, Javji Dadaji Road, Grant Road, Mumbai 400007, Maharashtra, India ("Review Mitra", "we", "us"). By clicking "I agree" at sign-up or by participating in the Affiliate Program, you accept these Terms.
1. Eligibility
You must be at least 18 years old and a resident of India. You may be an individual (sole proprietor), a registered business, partnership, LLP, or company. You must hold a valid PAN and provide accurate bank account details for commission payouts. We reserve the right to reject any application at our discretion.
2. Nature of the Relationship
Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and Review Mitra. You are an independent contractor / referrer. You have no authority to bind Review Mitra, issue invoices on our behalf, or represent yourself as our employee or agent.
3. How It Works
- Upon approval, you receive a unique referral link tied to your affiliate account.
- You share this link with business owners, merchants, or contacts who may benefit from Review Mitra.
- When a referred merchant signs up and pays for a subscription plan, you earn a recurring commission on every payment they make, for as long as they remain a paying customer.
- Top-up credit purchases also generate commission at the same rate.
- A 30-day attribution window applies: if a visitor clicks your link and signs up within 30 days, the referral is credited to you.
4. Commission Slabs
Commissions are calculated on the net subscription fee excluding GST paid by the referred merchant:
- Tier 1 — Starter: 1–14 active referred merchants → 10% recurring commission
- Tier 2 — Partner: 15–39 active referred merchants → 15% recurring commission
- Tier 3 — Premier: 40–79 active referred merchants → 20% recurring commission
- Tier 4 — Elite: 80–149 active referred merchants → 25% recurring commission
- Tier 5 — Champion: 150+ active referred merchants → 30% recurring commission
5. Self-Referral Prohibition
You may NOT refer yourself, your own business, or any entity in which you hold a majority stake or directorship. You may not create multiple accounts to bypass this rule. Any commission arising from self-referral is forfeited and may result in immediate termination from the program.
6. Payout Terms
- Payouts are processed monthly, within 10 business days after the end of each calendar month.
- Minimum payout threshold: ₹1,000. Balances below this roll over to the next month.
- Payouts are made via NEFT/IMPS to the Indian bank account you provide at sign-up.
- You are responsible for ensuring your bank details and PAN are accurate. We are not liable for failed transfers due to incorrect details.
- Commission statements are available in your affiliate dashboard.
7. Taxes — TDS & GST
- TDS: We are required to deduct tax at source under Section 194H of the Income Tax Act, 1961 (commission/brokerage) at the applicable rate (currently 5% for individuals/HUF, 10% for others, subject to threshold limits and PAN submission). TDS certificates (Form 16A) will be issued quarterly.
- GST: If you are a GST-registered business, you must issue a tax invoice to Review Mitra for the commission amount (plus GST at 18% under SAC 9983). We will reimburse the GST component on submission of a valid GST invoice. If you are not GST-registered, no GST is charged or reimbursed.
- You are solely responsible for reporting commission income in your income-tax return and paying any additional tax liability.
8. Acceptable Promotion
You agree to promote Review Mitra honestly and lawfully. You may NOT:
- Use misleading claims, fake testimonials, or promises of guaranteed results;
- Engage in spam, unsolicited bulk messaging, or deceptive advertising;
- Use our trademarks ("Review Mitra", the logo) in a way that implies endorsement, partnership, or ownership without prior written consent;
- Bid on our brand keywords in paid search campaigns;
- Promote on websites or platforms that host unlawful, defamatory, or adult content;
- Manipulate, forge, or cookie-stuff referral tracking.
9. Data & KYC
To receive payouts, you must provide: full name, PAN, bank account number, IFSC code, phone number, and address. For GST-registered affiliates, a valid GSTIN and tax invoice is required for GST reimbursement. This data is collected solely for legal/tax compliance and payout purposes and is protected under our privacy practices.
10. Termination
Either party may terminate participation with 30 days' written notice. We may terminate immediately for breach of these Terms, fraudulent activity, or brand-damaging conduct. On termination:
- Your referral link becomes inactive;
- Pending commissions for valid referrals up to the termination date are paid in the next cycle (subject to minimum threshold and clawback rules);
- No further commissions accrue after termination.
11. Limitation of Liability
To the maximum extent permitted by Indian law, our total aggregate liability to you in any 12-month period is limited to the commissions actually paid to you in the preceding 3 months. We are not liable for indirect, incidental, consequential, or punitive damages, loss of profits, or business opportunity. Nothing in these Terms excludes liability that cannot be excluded under law.
12. Indemnity
You will indemnify and hold us harmless against any claim, loss, or liability arising from your breach of these Terms, your promotional activities, or your misuse of referral links or branding materials.
13. Changes to Commission Rates
We may adjust commission slabs or tiers with 30 days' notice. Existing referred merchants continue to earn commission at the rate in effect at the time of their sign-up for 6 months, after which the new rate applies.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction. Disputes may, at our option, be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Mumbai, conducted in English.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email at least 15 days in advance. Continued participation after the effective date constitutes acceptance.
