These Terms form a binding agreement between you ("Merchant", "you") and Samiir Vivekanand Halady, trading as Review Mitra (GSTIN 27AAUPH0142G2ZS), having its principal place of business at Ground Floor, 1, Plot 235, Talmakiwadi, Javji Dadaji Road, Grant Road, Mumbai 400007, Maharashtra, India ("Review Mitra", "we", "us"). By clicking "I agree" at sign up or by using the service, you accept these Terms.
1. Eligibility
You must be at least 18 years old and authorised to bind the business you represent. The business must be lawfully constituted in India (proprietorship, partnership, LLP, company, or registered trust/society). Where applicable, you must hold a valid GSTIN and PAN.
2. The Service
Review Mitra provides a SaaS tool that helps your customers write Google / Maps reviews about your business with AI assistance. We do not author, publish, or post reviews on third-party platforms on your behalf. The decision to publish a review and the content of the review always rests with the customer.
3. Subscription, Fees & GST
- Plans, prices, and monthly review limits are shown in INR on the Pricing page and may change with 30 days' notice to existing subscribers.
- All prices are exclusive of GST. GST at the prevailing rate (currently 18% under SAC 998314) will be added to every invoice.
- Subscriptions are prepaid and non-refundable for the current billing cycle, except where required by law.
- We will issue a GST tax invoice for every payment and email it to the address on file.
3A. Monthly Quotas, Top-ups & Commitment
- Every subscription plan carries a monthly review quota. Unused quota does not roll over to the next month.
- If you exceed your monthly quota you may buy top-up credits. Top-up credits carry forward and do not expire so long as your account is active and in good standing.
- Top-up pricing is designed so that the per-review price of any top-up is equal to or higher than the per-review price of the equivalent monthly subscription tier. Top-ups are meant for burst usage, not as a substitute for a larger plan.
- Credit consumption order: included subscription-cycle credits are consumed first; top-up credits are consumed only after the cycle quota is exhausted.
- Top-up commitment (monthly plans): when you purchase any top-up while on a monthly plan, your subscription commitment is automatically extended by one additional billing cycle beyond the current one, regardless of how many top-ups you buy in that month. You may not cancel or downgrade until that extended cycle ends.
- Top-up commitment (annual plans): annual plans — whether paid upfront or in monthly installments — are non-cancellable for the full annual term. Buying top-ups does not shorten, extend, or otherwise alter the annual commitment.
- Top-ups, once purchased, are non-refundable as soon as any credit from that top-up has been consumed. Unused top-ups may be refunded at our sole discretion within 7 days of purchase, less payment-gateway charges and applicable taxes.
4. Free Trial
New merchants receive a 7-day free trial with a capped number of reviews. The trial converts to a paid plan only when you choose a plan and pay. No card is captured during the trial.
5. Acceptable Use
You agree NOT to:
- Generate fake, fabricated, or incentivised reviews from people who have not genuinely transacted with you;
- Offer money, discounts, or any consideration in exchange for a positive review (this violates Google's policy and the Consumer Protection (E-Commerce) Rules, 2020 and CCPA guidelines on fake reviews, 2022);
- Submit content that is defamatory, obscene, infringes third-party IP, or violates Indian law;
- Use the service for any business that is unlawful in India;
- Reverse-engineer, resell, or sublicense the platform.
6. Customer Data & DPDP Act, 2023
You will collect customer phone numbers and other details using Review Mitra. You confirm that:
- You have obtained free, specific, informed, and unambiguous consent from each customer ("Data Principal") under the Digital Personal Data Protection Act, 2023 ("DPDP Act") before entering their details into the platform;
- You are the Data Fiduciary for your customer data; Review Mitra acts as a Data Processor on your behalf and processes the data only as instructed by you and as needed to operate the service;
- You will honour customer rights (access, correction, erasure, grievance redressal) and will pass through any erasure request to us within 7 days; we will action it within 30 days.
7. Your Account, Fair Use & Anti-abuse
You are responsible for the security of your login credentials. Notify us immediately at samiirh@gmail.com if you suspect unauthorised access. We may suspend or terminate accounts that:
- breach these Terms, including the acceptable-use rules in Section 5;
- generate fake, fabricated, incentivised, or bot-driven review requests;
- attempt to resell, sublicense, or share credits with third parties, or transfer credits between unrelated businesses;
- scrape, hammer, or otherwise abuse the platform APIs;
- are inactive for over 12 months;
- remain unpaid for more than 14 days after the due date.
8. Intellectual Property
The Review Mitra brand, software, and content are owned by us. You retain ownership of your business name, logo, tagline, and customer data, and you grant us a limited licence to use them solely to deliver the service to you.
9. Service Availability
We aim for high availability but the service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted service and may schedule maintenance with reasonable notice.
10. Limitation of Liability
To the maximum extent permitted by Indian law, our total aggregate liability to you in any 12-month period is limited to the fees actually paid by you to Review Mitra in the preceding 3 months. We are not liable for indirect, incidental, consequential, or punitive damages, loss of profits, goodwill, data, or business opportunity. Nothing in these Terms excludes liability that cannot be excluded under law.
11. Indemnity
You will indemnify and hold us harmless against any claim, loss, or liability arising from your breach of these Terms, your misuse of the service, the content you submit, or your handling of customer data.
12. Cancellation & Termination
- Monthly plans (no active top-up commitment): you may cancel at any time from your dashboard; cancellation takes effect at the end of the current paid cycle. No pro-rata refund is issued for the running cycle.
- Monthly plans with a top-up commitment (Section 3A): cancellation takes effect only at the end of the extended cycle set by your most recent top-up purchase.
- Annual plans: annual plans are non-cancellable mid-term. If you have opted to pay an annual plan in monthly installments, all remaining installments remain due and payable through the end of the annual term, even if you stop using the service.
- We may terminate immediately for material breach. On termination you may export your data for 30 days, after which we may delete it (subject to legal retention requirements).
12A. Payment Disputes & Chargebacks
Where any credit from a subscription or top-up has been delivered to your account, initiating a chargeback or payment reversal in respect of that charge shall be treated as a material breach of these Terms and entitles us, without prejudice to any other remedy, to (a) immediately suspend or terminate your account, (b) forfeit all unused subscription and top-up credits, and (c) recover the disputed amount along with all bank, gateway, and reasonable legal costs incurred. Please contact samiirh@gmail.com before raising a dispute with your bank or card network; genuine billing errors will be corrected promptly.

14. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to arbitration where elected, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction. Disputes may, at our option, be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Mumbai, conducted in English.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email at least 15 days in advance. Continued use after the effective date constitutes acceptance.
