US Merchant Terms & Conditions

These Terms form a binding agreement between you ("Merchant", "you") and Review Mitra, operated by Samiir Vivekanand Halady ("Review Mitra", "we", "us"). By clicking "I agree" at sign up or by using the service, you accept these Terms.

1. Eligibility

You must be at least 18 years old and authorized to bind the business you represent. The business must be lawfully formed in the United States (sole proprietorship, LLC, corporation, partnership, or non-profit).

2. The Service

Review Mitra provides a SaaS tool that helps your customers write Google / Maps reviews about your business with AI assistance. We do not author, publish, or post reviews on third-party platforms on your behalf. The decision to publish a review and the content of the review always rests with the customer.

3. Subscription, Fees & Taxes

  • Plans, prices, and monthly review limits are shown in USD on the Pricing page and may change with 30 days' notice.
  • Prices shown are exclusive of any applicable US state or local sales tax. Where Review Mitra is required to collect sales tax for your billing jurisdiction, it will be added at checkout and shown on your invoice.
  • You are solely responsible for any use, excise, gross-receipts, or other taxes that may apply to your purchase and that are not collected by us.
  • Subscriptions are prepaid and non-refundable for the current billing cycle, except where required by law.
  • If your usage exceeds the plan's monthly limit you may purchase top-up credits or upgrade. Top-up credits do not expire so long as your account is active.

4. Free Trial

New merchants receive a 7-day free trial with a capped number of reviews. The trial converts to a paid plan only when you choose a plan and pay. No card is captured during the trial.

5. Acceptable Use & FTC Compliance

The US Federal Trade Commission's Endorsement Guides and the FTC's Rule on the Use of Consumer Reviews and Testimonials (16 C.F.R. Part 465, effective 2024) prohibit fake, AI-fabricated, hijacked, or incentivized reviews. You agree NOT to:
  • Solicit, generate, or submit reviews from people who have not had a genuine experience with your business;
  • Offer money, discounts, free product, gift cards, sweepstakes entries, or any other consideration in exchange for a review or for a positive review;
  • Misrepresent that a review reflects the opinions or experiences of a real customer when it does not;
  • Suppress, hide, or selectively publish only positive reviews;
  • Submit content that is defamatory, obscene, infringes third-party IP, or violates US federal or state law;
  • Reverse-engineer, resell, or sublicense the platform.
You are solely responsible for the content of every review request you initiate and for compliance with the FTC rules above. Violations can result in civil penalties of up to $51,744 per violation (FTC, 2024) against you; we may suspend your account immediately on credible evidence of a violation.

6. Customer Data, Privacy & State Laws

You will collect customer phone numbers and other details using Review Mitra. You confirm that:
  • You have obtained the consent (or have another lawful basis) required by the privacy laws of the state in which your customer resides, including without limitation the CCPA/CPRA (California), VCDPA (Virginia), CPA (Colorado), CTDPA (Connecticut), UCPA (Utah), and the TCPA (federal, for any SMS contact);
  • You are the "Business" (CCPA) / "Controller" (other state laws) for your customer data; Review Mitra acts as a "Service Provider" / "Processor" on your behalf and processes the data only as instructed by you and as needed to operate the service;
  • You will honor consumer rights (access, deletion, opt-out of sale/sharing, correction) and will pass through any deletion request to us within 7 days; we will action it within 45 days as required by CCPA.
We retain customer data only as long as your account is active or as required for tax/audit purposes.

7. Your Account

You are responsible for the security of your login credentials. Notify us immediately at samiirh@gmail.com if you suspect unauthorized access. We may suspend or terminate accounts that breach these Terms, are inactive for over 12 months, or remain unpaid for more than 14 days after the due date.

8. Intellectual Property

The Review Mitra brand, software, and content are owned by us. You retain ownership of your business name, logo, tagline, and customer data, and you grant us a limited license to use them solely to deliver the service to you.

9. Service Availability

We aim for high availability but the service is provided on an "AS IS" and "AS AVAILABLE" basis. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, to the maximum extent permitted by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES ACTUALLY PAID BY YOU TO REVIEW MITRA IN THE PRECEDING 3 MONTHS. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY.

11. Indemnification

You will indemnify, defend, and hold us harmless against any claim, loss, or liability (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the service, the content you submit, your handling of customer data, or any FTC, state-AG, or private action alleging fake/incentivized reviews originating from your account.

12. Termination

You may cancel at any time from your dashboard; cancellation takes effect at the end of the current paid cycle. We may terminate immediately for material breach. On termination you may export your data for 30 days, after which we may delete it (subject to legal retention requirements).

13. Governing Law, Arbitration & Class-Action Waiver

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Wilmington, Delaware, conducted in English. You and Review Mitra waive any right to participate in a class action or class-wide arbitration.You may opt out of this arbitration clause by emailing samiirh@gmail.com within 30 days of accepting these Terms.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 15 days in advance. Continued use after the effective date constitutes acceptance.
